1. Acceptance of Terms

By creating an account, accessing, or using MsgCRM in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy. These Terms apply to all users, visitors, and others who access or use the platform.

2. Description of Service

MsgCRM is a cloud-based SaaS (Software as a Service) platform that provides WhatsApp CRM, AI chatbots, bulk messaging, CRM pipeline management, invoicing, live chat, and 50+ automation modules. The service is operated by TheWebStore028 (RadhaMadhav WebStore LLP), Thane, Maharashtra - 421204, India.

3. Account Registration & Eligibility

• You must be at least 18 years old to create an account and use MsgCRM.
• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at Connect@msgcrm.in of any unauthorised access to your account.
• One person or organisation may not maintain more than one free trial account.

4. Acceptable Use Policy

You agree to use MsgCRM only for lawful purposes. You may NOT use our platform to:

• Send spam, unsolicited messages, or messages to individuals who have not opted in to receive communications from you.
• Violate WhatsApp's Terms of Service, Meta's policies, or any applicable messaging platform's policies.
• Send fraudulent, misleading, deceptive, or illegal content.
• Harass, threaten, or harm any individual or group.
• Distribute malware, viruses, or harmful software.
• Attempt to reverse-engineer, hack, or compromise the platform.
• Scrape, crawl, or use automated tools to extract data from the platform without permission.
• Resell or white-label MsgCRM without a written reseller agreement.
• Use the platform for any purpose that violates Indian law or international regulations.

5. Subscription, Billing & Payment

• MsgCRM offers paid subscription plans (Business and Premium) billed monthly or annually.
• A 14-day free trial is available for new accounts. No credit card is required for the trial.
• After the trial period, continued use requires a paid subscription.
• All payments are processed securely through Razorpay.
• Prices are in Indian Rupees (₹) and are inclusive of applicable taxes unless stated otherwise.
• Subscriptions auto-renew at the end of each billing cycle. You may cancel at any time before renewal.
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

6. Free Trial Terms

• New users are entitled to one 14-day free trial per business entity.
• The free trial provides full access to Business plan features.
• If you do not upgrade within 2 days, your account will be restricted to read-only mode.
• We reserve the right to terminate free trial accounts that exhibit abusive, spammy, or policy-violating behaviour.

7. Intellectual Property

MsgCRM and all its components — including the software, design, logo, trademarks, content, and documentation — are the exclusive property of RadhaMadhav WebStore LLP. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your own business purposes during your subscription.

You retain ownership of all content and data you upload or create using the platform (your "User Content"). By using MsgCRM, you grant us a limited licence to process, store, and display your User Content solely to provide the service to you.

8. Data & Privacy

Our handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using MsgCRM, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services & Integrations

MsgCRM integrates with third-party services including WhatsApp Business API (Meta), OpenAI, Google, Razorpay, Shopify, and others. Your use of these integrations is subject to the respective third parties' terms of service. MsgCRM is not responsible for the availability, accuracy, or actions of third-party services.

10. Service Availability & Uptime

We strive to maintain 99.9% uptime for the MsgCRM platform. However, we do not guarantee uninterrupted, error-free service. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by third-party service providers (e.g., WhatsApp API outages, cloud provider issues).

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• MsgCRM is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, special, or consequential damages including loss of profits, data, business, or goodwill.
• Our total cumulative liability to you for any claims arising from your use of the platform shall not exceed the total amount you paid us in the 3 months preceding the claim.
• We are not responsible for actions taken by WhatsApp/Meta against your account, including banning or restricting your phone number.

12. Indemnification

You agree to indemnify and hold harmless MsgCRM, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) any content you transmit through the platform.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these Terms, engage in illegal activity, or fail to pay applicable fees. Upon termination, your access to the platform will cease and your data will be retained for 90 days before deletion (unless you request earlier deletion).

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of MsgCRM shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of courts in Thane, Maharashtra, India.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 2 days before the change takes effect. Your continued use of MsgCRM after the effective date constitutes acceptance.
